Oftentimes, we hear about individuals seeking to purchase real estate assets in Cyprus for investment purposes. A common scenario involves a buyer identifying a property investment opportunity they believe is being offered by a reputable and well-established land development company in Cyprus.
An Unexpected Detail
When the sale and purchase agreement is eventually received, it may reveal that the named Seller is not the party the buyer had been interacting with, but rather an unfamiliar company. Since many investors choose particular properties based on the reputation of the land developer, this unexpected detail naturally raises concerns about how to proceed.
Looking Behind the Structure
In such situations, it becomes essential to request clarifications from the land developer and to review public records relating to both the company listed as the Seller (via the Registrar of Companies) and the project under development (via the Land Registry). Additional questions may also need to be raised with the Seller regarding matters not previously discussed.
It often turns out that the Seller is a subsidiary created specifically for the project. It is also common for the company responsible for development and construction not to be the same entity that will manage the project after completion. Many real estate development groups deliberately separate construction activities from long-term property management.
Strengthening the Agreement
Armed with the right information, it is usually possible to negotiate additional undertakings from the relevant company within the group, such as assurances regarding timely performance of contractual obligations, delivery of the property, and the issuance of legal title.
Key Insights
This highlights the importance of carefully considering who is entrusted with an investment, as well as the necessity of fully negotiating and reviewing all real estate agreements. Surprises can, and often do emerge once verbal understandings are formalized in writing.
